Terms & conditions
General commercial terms, B2B revenue-share conditions, distributor framework and end-user session guidelines governed under Belgian and European law.
1. Scope & definitions
These General Terms and Conditions govern all commercial proposals, SaaS subscription agreements, hardware purchase orders and revenue-sharing deployments delivered by Cubby BV ("Cubby").
They apply to venue operators, municipalities, distributors and end users of Cubby locker stations across Europe.
2. ClubCubby turnkey model
Turnkey venue operators bear €0 upfront capital expenditure. Hardware is amortised directly through active revenue sharing.
Automated revenue split: rental revenues generated from guest locker sessions are calculated automatically by Stripe Payments Europe and remitted monthly directly into the venue operator's designated corporate bank account.
Hardware ownership: locker cabinets, touchscreens, solenoids and 4G communication routers remain the sole property of Cubby BV throughout the agreement term, unless explicitly sold under an outright CAPEX purchase contract.
3. UrbanCubby municipal supply & subsidies
For municipal sports departments, city councils and public park administrations purchasing UrbanCubby units, Cubby supplies the hardware, the cloud platform and the supporting technical documentation for subsidy applications.
UrbanCubby can be equipped with an optional solar canopy and a Voltaic Systems V102 battery for autonomous operation.
4. Distributor policy
Cubby appoints exclusive regional distribution partners per territory. Dutch municipal and commercial deployments are handled by the official Dutch distribution partner.
Distributors receive wholesale unit margins, recurring cloud software revenue, buffer stock allocation and direct engineering escalation.
5. End-user rental sessions
Session expiry: lockers uncollected by the close of the operating session will be cleared by the venue operator in accordance with their local lost-and-found policies.
Prohibited items: storage of flammable chemicals, weapons, illicit substances, perishable hazardous foods or animals is strictly prohibited.
6. Liability, maintenance & security standards
Not an insurer: Cubby BV is a hardware and software infrastructure provider and does not act as an insurer of goods stored within locker compartments.
Maintenance & repairs: Cubby provides remote monitoring, 4G cellular SIM connectivity and automatic software updates free of charge. Physical vandalism caused by third-party criminal intent is subject to site insurance coverage.
Payments are processed through payment providers that comply with the applicable payment-security standards.
Force majeure: Cubby is not liable for disruptions resulting from widespread national telecom carrier outages, extreme natural disasters exceeding IP65 design thresholds, or civil unrest.
7. Governing law & jurisdiction
These terms are governed by Belgian law. Disputes fall under the exclusive jurisdiction of the competent courts of Ghent, Belgium, without prejudice to mandatory consumer protection provisions of European law.
